Terms of Service
These terms govern your use of the Zephr service. By creating an account or using the service you agree to them. Where a feature is planned rather than shipped, these terms say so instead of promising it.
Acceptance and who this applies to
These terms are a contract between you and Synapsic LLC, which operates Zephr. They apply to the open-source local engine, the code-agent integrations, and the managed cloud.
By creating an account, downloading the software, or otherwise using the service, you agree to these terms. If you use the service on behalf of an organisation, you confirm you are authorised to bind that organisation.
What Zephr is
Zephr is governed, provenance-backed memory for agent work. It stores memories and beliefs about your work, with the evidence that backs each one.
Zephr stores signed records of what you ask and what is done, along with the source (provenance) of each claim. This enables a new session or agent to pick up where a prior one ended.
The service is offered in two modes:local mode (data on your device) and managed cloud (data in our hosted service). These terms apply to both.
Your memories are yours
You retain full ownership of the memories, beliefs, and content you create or capture with Zephr.
You own the memories and evidence you record. We claim no ownership over your content. You grant Zephr a limited, non-exclusive licence to process that content solely to operate the service (store it, retrieve it, reconcile it, and deliver it back to you) and to improve and secure the service.
The Zephr software, its design, and its integrations are licensed to you and remain the property of Synapsic LLC (open-source components under their own licences). Third-party documentation in Library, if any is later served, remains the property of its owners and is cited, not republished as a substitute.
What you may not do
You agree not to misuse the service, the network, or other users' data.
- Attempt to access accounts or tenants you do not own, or to bypass tenant isolation.
- Upload or store content that is unlawful, infringing, or that you have no right to store.
- Abuse or overwhelm the service (for example, by evading rate limits or performing denial-of-service attacks).
- Use the service to develop a competing product by copying its substantive functionality.
- Attempt to compromise the security, integrity, or availability of the service.
We may suspend or terminate access that violates these terms, or that threatens the security or stability of the service.
Honest status: no certifications, no guarantees
Zephr is an early product and does not hold security compliance certifications. It is provided as-is, without any warranty.
Zephr isnot certified under SOC 2, ISO 27001, HIPAA, or similar programs. Nothing on this site should be read as a claim that the service meets a particular regulatory or compliance standard.
The service is provided “as is” and “as available”, without any warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability
To the maximum extent permitted by law, our liability is limited.
To the fullest extent permitted by law, Zephr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the service.
Our aggregate liability for all claims relating to the service shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred euros, whichever is greater.
Data, erasure, and export
Your data rights and how to leave the service.
Access and export
You can access your memories through the product. An open-format export of your data is part of the roadmap; where it is not yet self-serve in every surface, contact us and we will arrange an export.
Erasure
You may request deletion of your account and data. Our end-to-end erasure pipeline is Planned in progress for the managed cloud — it is not yet fully automated, so deletion is processed on request and completed within a reasonable, published window. See the Privacy Policy.
Subprocessors
Where we use a service provider to operate (currently Supabase for Auth and hosted Postgres, with semantic recall stored in Postgres itself via the pgvector extension), they process data as subprocessors under our instructions. Any future AI/embedding provider is governed by a data processing addendum and provider allowlist.
Suspension and termination
How either of us can end the relationship.
You may stop using the service at any time and request deletion of your data. We may suspend or terminate access for breach of these terms, for conduct that threatens the service, or where required by law. On termination, your data is handled per the Privacy Policy and our erasure obligations.
Changes to these terms
We may update these terms as the product and the law evolve.
Material changes will be reflected here with an updated date, and where required we will notify account holders. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
Governing law and jurisdiction
United States federal law and the laws of the state of formation of Synapsic LLC. The specific formation state is labelled until counsel confirms it.
These terms shall be governed by and construed in accordance with the laws of the United States and the laws of the state of formation of Synapsic LLC (formation state: [jurisdiction — counsel]), without regard to conflict of law principles. Any dispute arising out of these terms shall be subject to the exclusive jurisdiction of the courts of that state, except where federal courts have exclusive jurisdiction.
